1. RELATIONSHIP: Contractor is an independent contractor, not an employee.
Client has no obligation to provide benefits, equipment, or withhold taxes.
2. SCOPE OF WORK: As defined in attached Statement of Work (SOW).
Changes to scope require written amendment signed by both parties.
3. INTELLECTUAL PROPERTY: All work product, content, code, and materials
created during this engagement are work-for-hire and property of Client
upon payment.
4. CONFIDENTIALITY: Contractor agrees not to disclose affiliate programs,
commission rates, revenue data, link structures, or proprietary content
strategies to any third party for 2 years after contract termination.
5. NON-SOLICITATION: Contractor will not solicit Client's affiliate partners,
clients, or sub-contractors for 12 months after termination.
